Onefy Affiliate Partner Terms and Conditions

Effective as of December 2025

Onefy (as defined below) maintains an affiliate referral and commission program (as the same may be updated from time to time, the “Program”) and may offer You (as defined below) an opportunity to become an independent Onefy Affiliate (“Affiliate”). Affiliates have the opportunity to earn compensation based on qualified sales of Onefy products, services, and subscriptions. All determinations of eligibility and commission payments are made at the sole discretion of Onefy.

These Affiliate Partner Terms and Conditions (“Agreement”) govern Your application for, and any subsequent participation in, the Onefy Affiliate Program. By clicking “I Accept the Terms and Conditions” and submitting your application, You hereby confirm that You have read, understood, and agreed to be bound by the terms of this Agreement.

TERM 1 – PARTIES

All references to “Onefy,” “we,” “our,” or “us” refer to All in One AI Inc., a California corporation.
All references to “You” or “Your” refer to the person or legal entity executing this Agreement.
Each of Onefy and You may be referred to herein as a “Party,” and collectively as the “Parties.”

You agree to notify Onefy in writing of any change in Your legal business name or account ownership within twenty-four (24) hours of such change.

TERM 2 – APPLICATION

You agree to provide complete, accurate, and truthful information in connection with Your Affiliate application. Onefy retains sole and exclusive discretion to determine whether You qualify for participation in the Program. Submission of an application does not guarantee approval. TERM 3 – CONSENT TO COMMUNICATIONS

You expressly consent to be contacted by Onefy at the email address, phone number, or social media accounts You provide, including via automated systems, text messages, or prerecorded messages.
This consent is a material condition of participation and cannot be revoked except by mutual written agreement of the Parties.

TERM 4 – ELIGIBILITY

By applying to join the Program, You confirm that:

If applying as an individual:

  1. You are at least 18 years of age.

  2. You have full legal capacity to enter a binding agreement.

  3. All information You provide is truthful and accurate.

  4. You will comply with all applicable laws and Program requirements.

If applying on behalf of a company or organization:

  1. You are authorized to bind the entity.

  2. The entity has full legal capacity to enter this Agreement.

  3. You warrant that the entity will comply with all obligations stated herein.

TERM 5 – COMPENSATION

If Your application is approved, You will receive a unique Affiliate ID incorporated into Your personalized referral URL (“Affiliate Link”).
You may earn a commission (“Commission”) on each Qualified Sale made through Your Affiliate Link.

5.1 Commission Qualification

A “Qualified Sale” means a paid Onefy subscription or service meeting all of the following:

  • Attributed to Your Affiliate Link via the last-touch cookie model

  • Payment successfully received and retained by Onefy

  • Subscription remains active beyond the defined hold period (e.g., 60 days)

  • Not refunded, cancelled, fraudulent, or otherwise invalidated

Enterprise plans, custom contracts, or other products designated by Onefy may be non-commissionable.

5.2 Commission Payment Terms

  • Commissions are calculated based on actual revenue received, net of taxes or fees.

  • Commissions are paid monthly, for revenue received in the prior month.

  • Minimum payout threshold: $50 USD

  • All payments require a valid payment method on file.

  • Affiliates are responsible for any taxes or bank fees associated with payment.

Onefy maintains sole discretion regarding whether any transaction qualifies for Commission.

  • Cookie duration: 60 days

  • If a conversion occurs after this period, no Commission is owed.

  • Onefy is not responsible for lost cookies (e.g., if a user clears browser data).

5.4 Use of Third-Party Tracking

Participation may require an account with a third-party affiliate platform (e.g., Rewardful).
Use of such platforms is subject to their own terms and policies.

5.5 Non-Commissionable Activities

You will NOT earn commissions if:

  • You purchase Onefy services using your own link

  • You create fake or duplicate accounts

  • You offer cash rebates or monetary incentives

  • Traffic originates from:

    • Bot networks

    • Purchased email lists

    • Invalid/malicious behavior

  • You send unsolicited outreach (email or social media DM spam)

  • You run paid ads targeting Onefy branded keywords, including:

  • A sale is later refunded or charged back

Onefy may withhold or deduct commissions arising from any prohibited behavior.

TERM 6 – TRADEMARKS

A. You grant Onefy a nonexclusive, nontransferable, royalty-free license to display Your trademarks solely for Program purposes.

B. Onefy trademarks may only be used with prior written permission. If granted:

  • You must use only approved assets

  • You may not alter, distort, or misuse trademarks

  • You may not imply endorsement or sponsorship

  • You must comply with all brand guidelines

  • You must cease usage immediately upon request

TERM 7 – CONFIDENTIALITY

“Confidential Information” includes all non-public information disclosed by either Party, including customer data and business information.
Each Party agrees to:

  1. Protect such information with reasonable care

  2. Not use Confidential Information outside the scope of this Agreement

  3. Not disclose Confidential Information to third parties

  4. Limit access to authorized personnel only

Disclosure is permitted only if legally required.

TERM 8 – TERM AND TERMINATION

This Agreement becomes effective upon the earlier of:

  • Your clicking “I Accept”; or

  • Approval of Your Affiliate application.

Either Party may terminate the Agreement at any time, with or without cause, by written notice.

Onefy may immediately terminate or suspend Your participation if:

  • You violate this Agreement

  • You breach the Onefy Terms of Service

  • You run ads on Onefy branded keywords

  • Your traffic is fraudulent or abusive

  • Your dispute/refund rate exceeds 10%

  • You earn no commissions for 12 consecutive months

Upon termination due to breach, all unpaid commissions are forfeited.

TERMs relating to confidentiality, liability, arbitration, and indemnity survive termination.

TERM 9 – ADDITIONAL REPRESENTATIONS

You represent and warrant that:

  • You are not currently subject to investigation or enforcement by the FTC or other regulators

  • You have not been involved in prior fraud, consumer protection violations, or deceptive advertising cases

You must notify Onefy within 24 hours if such matters arise.
Onefy may terminate this Agreement immediately upon such notice.

TERM 10 – INDEMNIFICATION

You will indemnify, defend, and hold harmless Onefy and its staff, affiliates, and service providers from any claims arising out of:

  • Your breach of this Agreement

  • Your use of affiliate tools

  • Your advertising practices

  • Onefy’s permitted use of Your trademarks

You may not agree to any settlement that imposes obligations on Onefy without prior written consent.

TERM 11 – DISCLAIMER

Onefy makes no warranties regarding the program, the platform, or any tools provided. All services are provided “as is,” including any third-party tracking software.

Onefy disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

TERM 12 – LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Neither party will be liable for any indirect, punitive, or consequential damages (including lost profits or business opportunities), to the extent permitted by law.

  • If liability is found, the aggregate liability will be limited to the total commission amounts you actually earned for the related customer transactions in the twelve-month period preceding the event that caused the claim.

TERM 13 – MODIFICATIONS

Onefy may modify or update this Agreement at any time.
Changes will be communicated via email and/or through the Affiliate dashboard.
Unless otherwise stated, modifications take effect 30 days after notice.
Continued participation constitutes acceptance of the updated terms.
